By accessing our website, purchasing our products, subscribing to our services, approving a quote, signing an agreement, creating an account, using our software environment, or otherwise working with Localdomination4biz, you agree to these Terms and Conditions.

2. Definitions

In these Terms and Conditions:

“Localdomination4biz,” “we,” “us,” or “our” means Localdomination4biz.

“Client,” “customer,” “you,” or “your” means any person, company, organisation, entrepreneur, professional, consumer, or business using our website, services, digital products, subscriptions, or software access.

“Business Client” means any client acting in the course of a trade, business, profession, or commercial activity.

“Consumer Client” means any natural person acting outside a trade, business, profession, or commercial activity.

“Services” means all services provided by Localdomination4biz, including but not limited to digital marketing consulting, SEO, social media marketing, website and landing page creation, funnel creation, CRM setup, GoHighLevel setup, GoHighLevel white-label SaaS access, email and SMS automation, AI chatbot setup, AI receptionist setup, AI appointment setter setup, lead magnet creation, e-book creation, content creation, coaching, training, online courses, done-for-you services, done-with-you services, and DIY templates or digital products.

“Digital Products” means downloadable or online-access products including templates, courses, training materials, e-books, guides, checklists, scripts, frameworks, prompts, automations, workflows, or other digital content.

“Subscription Services” means services billed on a recurring basis, including but not limited to SaaS access, GoHighLevel-related services, CRM access, hosting, AI employee services, automation services, SEO retainers, and other monthly or annual services.

“Third-Party Platforms” means external software, tools, platforms, providers, and services used in connection with our Services, including but not limited to GoHighLevel, OpenAI, Anthropic LLC, Google, Meta, Stripe, PayPal, Square, GoCardless, Calendly, and other providers.

“Boost & Grow” refers to the GoHighLevel white-label environment operated or made available by Localdomination4biz.

3. Scope of These Terms

These Terms apply to:

. Use of our website;

. Purchase of Digital Products;

. Purchase of consulting, coaching, training, or online courses;

. Digital marketing services;

. Website and landing page services;

. SEO services;

. Social media marketing services;

. CRM and automation setup;

. GoHighLevel setup and white-label SaaS access;

. AI chatbot, AI receptionist, and AI appointment setter services;

. Funnel creation;

. Lead magnet, e-book, and content creation;

. Done-for-you, done-with-you, and DIY services;

. Subscription Services;

. Project-based work;

Any quote, proposal, order form, invoice, scope of work, or agreement referring to these Terms.

If a signed contract, quote, proposal, or scope of work contains specific terms that conflict with these Terms, the specific written terms in that contract, quote, proposal, or scope of work will prevail for that specific service only.

4. Eligibility and Client Type

Our Services may be offered to both Business Clients and Consumer Clients.

Certain services are intended primarily for Business Clients, including digital marketing consulting, SEO, CRM setup, automation, GoHighLevel white-label SaaS access, AI employee setup, website development, funnel creation, and done-for-you services.

Certain Digital Products, online courses, templates, and training materials may be offered to Consumer Clients.

By purchasing or using our Services, you confirm that the information you provide is accurate and that you have the legal capacity and authority to enter into an agreement with us.

If you purchase on behalf of a company or organisation, you confirm that you are authorised to bind that company or organisation.

5. Quotes, Proposals and Orders

Services may be ordered through:

. A website checkout;

. A written quote;

. A proposal;

. An invoice;

. An online order form;

. A subscription agreement;

. A signed agreement;

. Written acceptance by email or other written communication.

. A quote or proposal is valid only for the period stated in the quote or proposal. If no validity period is stated, it is valid for 14 days from the date of issue.

A contract is formed when:

. You accept a quote or proposal;

. You complete an online purchase;

. You pay an invoice;

. You sign an agreement;

.You approve a scope of work;

.You otherwise instruct us in writing to begin work.

We reserve the right to decline any order, project, or subscription at our discretion.

6. Services Provided

Localdomination4biz may provide, depending on the selected package, quote, or agreement:

. GoHighLevel setup;

. GoHighLevel white-label SaaS access;

. CRM setup;

. Email and SMS automation;

. AI chatbot setup;

. AI appointment setter setup;

. Lead magnet creation;

. E-book creation;

. Content creation;

. Coaching;

. Training;

. Online courses;

. Done-for-you services;

. Done-with-you services;

. DIY templates and digital products;

. Hosting-related services;

. Automation workflows;

. Conversion strategy;

Other related marketing, technology, or business growth services.

The exact deliverables, timeline, fees, payment terms, and scope will be described in the relevant quote, proposal, checkout page, invoice, scope of work, or agreement.

Unless expressly stated in writing, services do not include legal, financial, tax, accounting, medical, compliance, or regulatory advice.

7. Fees and Payment

Fees are displayed on our website, agreed in a quote, stated in an invoice, or defined in a separate agreement.

Localdomination4biz may charge:

One-time setup fees;

Monthly recurring fees;

Annual fees;

Project-based fees;

Consulting fees;

Coaching or training fees;

Digital Product fees;

Subscription fees;

Hosting fees;

SaaS access fees;

Custom package fees.

All prices are stated exclusive of VAT unless expressly stated otherwise.

Where VAT applies, it will be charged in accordance with applicable law.

Payment methods may include Stripe, GoCardless, PayPal, Square, bank transfer, or other approved payment methods.

Most recurring services are billed automatically through Stripe or GoCardless. Some recurring payments may be made by bank transfer.

Unless otherwise stated in writing, recurring fees are billed in advance.

8. Setup Fees

Setup fees are non-refundable.

Setup fees may cover onboarding, configuration, account creation, strategy, system architecture, technical setup, CRM configuration, automation setup, AI setup, website preparation, project planning, training preparation, or other initial work.

Once setup work has started, the setup fee remains payable even if the Client later cancels, delays, changes direction, fails to provide required materials, or decides not to continue with the service.

9. Project-Based Fees

For project-based services, including website creation, Localdomination4biz may require payment in stages.

Unless otherwise stated in a quote or agreement, website or project-based work may be charged as follows:

50% upon quote approval or project acceptance;

50% upon delivery or completion.

If the Client delays the project by failing to provide required materials, access, approvals, feedback, content, branding elements, technical access, or other information required for delivery, the second 50% may become payable at the end of the delivery period stated in the quote, even if the final delivery has been delayed due to the Client’s delay.

Localdomination4biz is not responsible for project delays caused by the Client’s lack of cooperation, delayed feedback, incomplete materials, technical access issues, third-party delays, or changes requested by the Client.

10. Recurring Subscriptions

Some Services are provided on a recurring monthly or annual basis.

Recurring Subscription Services may include, but are not limited to:

GoHighLevel white-label SaaS access;

CRM access;

Boost & Grow access;

Automation services;

AI employee services;

AI chatbot services;

AI receptionist services;

AI appointment setter services;

Hosting services;

SEO retainers;

Ongoing support;

Marketing retainers;

Other recurring digital services.

Unless otherwise agreed in writing, recurring subscriptions renew automatically until cancelled in accordance with these Terms.

You authorise Localdomination4biz and its payment providers to charge the applicable recurring fees using your selected payment method.

You are responsible for keeping your payment method valid and up to date.

11. Annual Fees and Special Deals

Localdomination4biz may offer annual billing, annual hosting fees, annual AI employee deals, or other long-term arrangements.

Where a Client receives special pricing, a discounted offer, one free month, preferential terms, or another benefit based on a minimum commitment, the Client must honour the agreed commitment unless both parties agree otherwise in writing.

The specific duration, termination rights, conditions, and consequences of early termination will be defined in the relevant quote, proposal, contract, or written agreement.

If the Client terminates early without a contractual right to do so, remaining committed fees may become immediately payable.

12. Cancellation Policy

Unless otherwise stated in a specific quote, agreement, or scope of work:

Clients may cancel most services at any time;

Cancellations take effect at the end of the current billing period;

Setup fees are non-refundable;

Amounts already paid for the current billing period are non-refundable, unless required by applicable consumer law;

No partial refunds are provided for unused time in a billing period.

For SEO services and hosting services, a one-month cancellation notice applies from the date of renewal unless otherwise agreed in writing.

For services with a specific minimum commitment or special pricing arrangement, cancellation terms will be governed by the written agreement for that service.

To cancel a service, the Client must notify Localdomination4biz in writing at:

13. Failed Payments and Service Suspension

If a payment fails, is reversed, is disputed, or remains unpaid, Localdomination4biz may suspend or limit access to relevant Services, including but not limited to CRM access, GoHighLevel access, Boost & Grow access, automations, hosting, AI services, email/SMS services, website management, or other recurring services.

Localdomination4biz may continue to attempt payment collection using the payment method on file.

The Client remains responsible for all unpaid amounts.

Suspension of Services does not cancel the Client’s payment obligations.

Localdomination4biz is not liable for any loss, interruption, missed lead, missed booking, lost opportunity, data access issue, marketing interruption, or business impact caused by suspension due to failed or overdue payment.

14. Late Payment, Interest and Collection Costs

Invoices must be paid by the due date stated on the invoice.

If payment is late, Localdomination4biz may charge:

Late-payment interest of 9% per year, unless a higher statutory commercial interest rate applies by law;

A mandatory collection fee of €40;

Any reasonable additional collection costs, legal costs, administrative costs, or recovery costs permitted by applicable law.

For Business Clients, collection costs and interest may become due immediately after the payment deadline has expired, subject to applicable law.

For Consumer Clients, Localdomination4biz will apply any legally required notice period before collection costs are charged.

15. Refund Policy

Except where required by applicable consumer law or expressly agreed in writing, payments are non-refundable.

This includes but is not limited to:

Setup fees;

Subscription fees already charged;

Consulting sessions already delivered;

Coaching sessions already delivered;

Training already accessed;

Digital Products already accessed or downloaded;

Custom work already started;

Website work already started;

Funnel work already started;

CRM or automation setup already started;

AI setup already started;

Hosting or SaaS fees for the current billing period.

Refunds are not provided because the Client changes their mind, fails to use the service, does not provide required materials, does not implement advice, dislikes a lawful and agreed deliverable, or does not achieve specific business results.

16. Consumer Right of Withdrawal

If you are a Consumer Client purchasing online or at a distance, you may have a legal right to withdraw from certain purchases within 14 days without giving a reason.

This right may apply to certain online purchases, services, subscriptions, or digital products, subject to legal exceptions.

For Digital Products, online courses, templates, downloadable content, digital training, or immediately accessible digital content, you may lose your right of withdrawal if:

You expressly consent to immediate access or delivery of the digital content during the withdrawal period;

You acknowledge that this may result in losing your withdrawal right;

You have accessed, downloaded, consumed, or used the digital content.

Localdomination4biz applies the following refund rule for B2C digital activities:

Refunds may be allowed during the 14-day withdrawal period, unless an exception applies;

No refund will be granted where more than 50% of the digital content has been consulted, accessed, watched, downloaded, or consumed;

No refund will be granted where the law allows withdrawal rights to be excluded because digital content or services have already been accessed, delivered, performed, or consumed with the Consumer Client’s consent.

For service contracts started during the withdrawal period at the Consumer Client’s request, Localdomination4biz may charge a reasonable amount for the work already performed before withdrawal.

17. Delivery Timelines

Delivery timelines are estimates unless expressly stated as fixed deadlines in writing.

Localdomination4biz will make reasonable efforts to meet agreed timelines. However, timelines may depend on:

. Client feedback;

. Client approvals;

. Access to accounts;

. Login credentials;

. Website access;

. CRM access;

. Ad account access;

. Hosting access;

. Domain access;

. Brand assets;

. Offer details;

. Content;

. Legal approvals;

. Technical requirements;

. Third-party platform availability;

Payment status.

If the Client does not provide required information, access, approvals, or feedback on time, Localdomination4biz may delay delivery.

Where the Client causes delays, the revised delivery timeline will be based on Localdomination4biz’s availability and agenda. Localdomination4biz is not required to prioritise a delayed project over other scheduled client work.

18. Client Responsibilities

The Client is responsible for providing accurate, complete, and timely information required for the delivery of Services.

This may include:

. Login credentials;

. Website access;

. Domain access;

. Hosting access;

. CRM access;

. Ad account access;

. Google account access;

. Meta account access;

. GoHighLevel access;

. Payment provider access;

. Offer details;

. Pricing details;

. Product or service details;

. Brand assets;

. Images;

. Videos;

. Copywriting input;

. Legal approvals;

. Privacy, compliance, and consent documentation;

. Accurate business information;

. Timely feedback;

. Approval of deliverables.

The Client is responsible for verifying the accuracy, legality, and compliance of all business claims, offers, pricing, guarantees, advertising statements, testimonials, and marketing content before publication.

Localdomination4biz is not responsible for errors, delays, legal issues, rejected ads, failed campaigns, or compliance problems caused by inaccurate, incomplete, delayed, or unlawful information provided by the Client.

19. Client Feedback and Approvals

The Client must provide feedback, approvals, corrections, or requested information within the timelines agreed or reasonably requested by Localdomination4biz.

If the Client does not respond within a reasonable period, Localdomination4biz may:

. Pause the project;

. Move the project to a later delivery slot;

. Invoice pending amounts;

. Treat the deliverable as approved if no feedback is provided after reasonable reminders;

. Adjust the delivery timeline based on current availability.

Client delays do not release the Client from payment obligations.

20. Revisions and Scope Changes

The number of revisions included in a project will be stated in the quote, proposal, package, or agreement.

If no number of revisions is stated, reasonable minor revisions may be included at Localdomination4biz’s discretion.

Additional revisions, new requests, strategic changes, design changes, extra pages, extra automations, new funnels, additional integrations, extra copywriting, or changes outside the original scope may be charged separately.

Localdomination4biz may issue a new quote or additional invoice for out-of-scope work.

21. Third-Party Platforms

Localdomination4biz uses and integrates with Third-Party Platforms, including but not limited to:

. GoHighLevel;

. OpenAI;

. Anthropic LLC;

. Google;

. Meta;

. Stripe;

. PayPal;

. Square;

. GoCardless;

. Calendly;

. Hosting providers;

. Domain providers;

. Email and SMS providers;

. Analytics tools;

. Advertising platforms;

. Other software and service providers.

The Client understands that Third-Party Platforms are controlled by their respective providers and not by Localdomination4biz.

Localdomination4biz is not responsible for:

. Platform outages;

. API changes;

. Pricing changes;

. Feature changes;

. Account suspensions;

. Account bans;

. Ad rejections;

. Payment provider restrictions;

. Deliverability issues;

. SMS or email carrier limitations;

. Domain or hosting interruptions;

. Data processing changes;

. Changes in platform terms;

. Technical limitations;

. Security incidents caused by third parties;

. Losses caused by third-party tools.

The Client agrees to comply with all applicable third-party platform terms, policies, and acceptable use rules.

Where a third-party provider increases prices, changes access terms, limits features, or withdraws functionality, Localdomination4biz may adjust its fees, services, or delivery accordingly.

22. GoHighLevel, Boost & Grow and CRM Access

Localdomination4biz may provide GoHighLevel white-label SaaS access through its environment known as Boost & Grow.

Clients may receive access to a sub-account hosted inside the Localdomination4biz white-label GoHighLevel agency account.

The Client owns their contacts, leads, pipelines, uploaded content, and customer data, subject to applicable law and third-party platform terms.

Localdomination4biz owns or controls the agency account, system architecture, templates, workflows, automation frameworks, internal configurations, and white-label environment unless otherwise agreed in writing.

Upon cancellation:

. The Client will keep access until the end of the current paid billing period;

. Access may be deactivated after the billing period ends;

. Localdomination4biz will provide an export of the Client’s data at no additional charge;

. Migration assistance is not mandatory and may be charged separately depending on the destination system and complexity;

. The account may be retained for 12 months after cancellation before deletion;

. After 12 months, Localdomination4biz may permanently delete the account and related data, unless a longer retention period is required by law or agreed in writing.

. The Client is responsible for downloading, saving, exporting, or requesting relevant data before deletion.

. Localdomination4biz is not responsible for data loss where the Client fails to request or save data within the applicable period.

23. AI Services and Automation Disclaimer

Localdomination4biz may provide AI-related services, including but not limited to AI chatbots, AI receptionists, AI appointment setters, AI workflows, AI-generated content, AI-assisted automations, and AI-powered customer communication tools.

The Client understands and agrees that AI systems may produce outputs that are inaccurate, incomplete, outdated, misleading, inappropriate, or unsuitable for a specific purpose.

AI tools may misunderstand user intent, provide incorrect answers, fail to detect context, or produce unexpected results.

AI appointment setters may misunderstand requests, incorrectly interpret availability, book unsuitable appointments, fail to qualify leads properly, or require human review.

AI chatbots and AI receptionists should not be used to provide legal, financial, medical, emergency, safety-critical, or regulated advice.

The Client must review, monitor, test, and approve AI use cases before and during use.

The Client and Localdomination4biz will work together to train AI chatbots and receptionists to avoid any of the above mentionned issues.

The Client is responsible for ensuring that AI-generated content, chatbot responses, automated messages, workflows, and customer interactions are accurate, lawful, appropriate, and compliant with applicable laws and industry rules.

Localdomination4biz is not liable for decisions, losses, claims, or damages resulting from reliance on AI output without appropriate human review.

Localdomination4biz may assist with AI configuration and implementation, but the Client remains responsible for the final approval, supervision, and use of AI in their business.

24. Email, SMS and Marketing Compliance

The Client is responsible for ensuring that all email, SMS, phone, advertising, lead generation, remarketing, and marketing activities comply with applicable laws and platform rules.

This includes responsibility for:

Having lawful consent for email and SMS marketing;

Complying with GDPR;

Complying with ePrivacy rules;

Complying with anti-spam laws;

Complying with advertising platform policies;

Ensuring marketing claims are truthful and not misleading;

Ensuring landing page claims are accurate;

Ensuring testimonials and reviews are used lawfully;

Not uploading purchased, scraped, unlawful, or non-consented contact lists;

Handling unsubscribe requests properly;

Maintaining lawful records of consent;

Ensuring audience data is lawfully collected and used.

Localdomination4biz may refuse to upload, use, send, or support any contact list, campaign, automation, or message that appears unlawful, misleading, non-compliant, risky, or inconsistent with platform rules.

The Client agrees to indemnify Localdomination4biz against claims, fines, complaints, penalties, damages, or costs arising from the Client’s unlawful or non-compliant marketing activities.

25. Advertising and Platform Policy Compliance

Localdomination4biz may assist with advertising strategy, landing pages, tracking, content, or campaign setup.

However, Localdomination4biz does not control Google, Meta, or other advertising platforms.

Localdomination4biz does not guarantee:

. Ad approval;

. Account approval;

. Continued account access;

. Specific cost per lead;

. Specific conversion rates;

. Specific sales volume;

. Specific return on ad spend;

. Specific lead quality;

. Specific campaign performance.

The Client is responsible for ensuring that their offers, claims, products, services, guarantees, pricing, disclaimers, and business practices comply with advertising laws and platform policies.

26. SEO Disclaimer

SEO services aim to improve visibility, technical quality, content relevance, authority, and organic search performance.

However, search engines are controlled by third parties and their algorithms change regularly.

Localdomination4biz does not guarantee:

. First-page rankings;

. Specific keyword positions;

. Specific organic traffic levels;

. Specific lead volume;

. Specific sales;

. Permanent rankings;

. Protection from algorithm updates;

. Protection from competitor activity.

SEO results depend on many factors outside our control, including competition, website history, domain authority, content quality, technical performance, industry trends, search engine changes, Client cooperation, and market demand.

27. Website, Landing Page and Funnel Services

For website, landing page, and funnel projects, the Client is responsible for providing accurate content, images, brand assets, legal notices, privacy policy, cookie policy, terms, disclaimers, product details, service descriptions, pricing, and approval of final content.

Unless expressly agreed in writing, Localdomination4biz is not responsible for drafting legal documents, regulated claims, financial disclaimers, medical disclaimers, professional compliance statements, or industry-specific legal notices.

The Client is responsible for reviewing and approving all website, landing page, and funnel content before publication.

Once the Client approves a website, landing page, or funnel, the Client accepts responsibility for the content and claims published on it.

28. Hosting Services

Where Localdomination4biz provides or arranges hosting services, the Client understands that hosting may depend on third-party infrastructure providers.

Hosting services may be suspended or terminated for non-payment, security risks, unlawful content, malware, abuse, excessive resource use, or violation of applicable terms.

Localdomination4biz is not liable for downtime, data loss, security incidents, plugin conflicts, technical issues, or interruptions caused by third-party hosting providers, third-party software, Client actions, malware, cyberattacks, or circumstances outside our reasonable control.

Hosting services require one month’s cancellation notice from the date of renewal unless otherwise agreed in writing.

29. Digital Products, Templates and Online Courses

Digital Products may include templates, e-books, courses, guides, checklists, scripts, workflows, prompts, automations, or other educational materials.

Digital Products are provided for educational, informational, and business-support purposes only.

Unless expressly stated otherwise, Digital Products do not include personalised consulting, implementation, technical support, legal review, or customisation.

The Client may use Digital Products for their own personal or internal business use only.

The Client may not copy, resell, redistribute, sublicense, publish, share, upload, reproduce, or commercially exploit Digital Products without written permission from Localdomination4biz.

30. Coaching, Training and Consulting

Coaching, training, and consulting services are designed to provide guidance, strategy, education, feedback, and practical recommendations.

The Client is responsible for implementing advice, making business decisions, and assessing whether recommendations are suitable for their specific situation.

Localdomination4biz does not guarantee that coaching, training, consulting, or education will produce specific business outcomes.

Missed sessions, late arrivals, or cancellations may be subject to the cancellation terms stated in the relevant offer, booking page, or agreement.

31. Results Disclaimer

Localdomination4biz is committed to providing high-quality, practical, and commercially focused services.

However, marketing, SEO, automation, AI, sales funnels, lead generation, paid advertising, and business growth depend on many factors outside our control.

Localdomination4biz does not guarantee:

. Specific revenue;

. Specific profit;

. Specific number of leads;

. Specific sales results;

. Specific appointment bookings;

. Specific conversion rates;

. Specific Google rankings;

. Specific return on investment;

. Specific ad performance;

. Specific cost per lead;

. Specific website traffic;

. Specific email open rates;

. Specific CRM adoption;

. Specific AI chatbot conversion rates;

. Specific business growth.

Results may vary depending on the Client’s offer, market, pricing, brand, reputation, sales process, follow-up, competition, customer service, website quality, advertising budget, implementation, and other factors.

Any examples, case studies, testimonials, projections, or performance references are illustrative only and do not guarantee similar results.

32. Intellectual Property

The Client retains ownership of their brand assets, logos, trademarks, customer data, uploaded content, contact lists, business information, and materials provided to Localdomination4biz.

Localdomination4biz retains ownership of its pre-existing intellectual property, including but not limited to:

Templates;

Frameworks;

Workflows;

Automations;

Scripts;

SOPs;

Prompts;

Strategic methods;

Processes;

Training materials;

Know-how;

Internal systems;

Reusable structures;

Software configurations;

Non-client-specific materials.

Unless otherwise agreed in writing, the Client receives a limited, non-exclusive, non-transferable licence to use deliverables created by Localdomination4biz after full payment has been received.

For custom website creative work, the Client receives ownership of the custom creative work specifically created for that website after full payment, excluding Localdomination4biz’s pre-existing tools, templates, frameworks, reusable components, workflows, know-how, third-party software, and licensed materials.

Localdomination4biz may reuse general knowledge, non-confidential methods, templates, frameworks, workflows, processes, and know-how developed or used during the provision of Services.

33. Licence Restrictions

The Client may not, without written permission from Localdomination4biz:

. Resell our templates, workflows, prompts, scripts, SOPs, or training materials;

. Share our Digital Products publicly;

. Copy or reproduce our course materials;

. Give third parties access to paid resources;

. Reverse-engineer our systems;

. Claim our frameworks or materials as their own;

. Use our deliverables to create a competing product or service;

34. Confidentiality

Each party may receive confidential information from the other party.

Confidential information includes business strategies, marketing plans, customer data, pricing, systems, processes, login details, technical information, financial information, unpublished materials, and other information that should reasonably be considered confidential.

Each party agrees to keep confidential information secure and not disclose it to third parties except where required to deliver Services, comply with law, or obtain professional advice.

This obligation continues after the end of the business relationship.

35. Data Protection and Privacy

Localdomination4biz processes personal data in accordance with its Privacy Policy and applicable data protection laws.

Where Localdomination4biz processes personal data on behalf of a Client, the parties may enter into a separate Data Processing Agreement where required by law.

The Client is responsible for ensuring that any personal data provided to Localdomination4biz has been lawfully collected and may lawfully be processed for the intended purpose.

The Client must not provide unlawful, sensitive, excessive, or non-consented personal data unless a valid legal basis exists.

36. Security and Access

The Client is responsible for maintaining secure passwords and appropriate access controls.

Where Localdomination4biz receives access credentials, we will use reasonable care to protect them.

However, the Client remains responsible for:

. Changing passwords when appropriate;

. Removing access when no longer needed;

. Enabling two-factor authentication where available;

. Monitoring user access;

. Securing their own devices, accounts, and systems.

Localdomination4biz is not responsible for security incidents caused by weak passwords, shared credentials, Client negligence, third-party breaches, phishing, malware, or unauthorised access outside our reasonable control.

37. Acceptable Use

The Client must not use our Services, systems, templates, automations, AI tools, or software access for:

Illegal activities;

Fraud;

Spam;

Harassment;

Deceptive marketing;

Unlawful scraping;

Infringement of intellectual property rights;

Uploading unlawful contact lists;

Sending messages without consent;

Publishing misleading claims;

Circumventing platform rules;

Distributing malware;

Abusing third-party platforms;

Any activity that may harm Localdomination4biz, its providers, its clients, or third parties.

Localdomination4biz may suspend or terminate access immediately if it reasonably believes the Client is using Services unlawfully, abusively, or in violation of these Terms.

38. Portfolio, Testimonials and Case Studies

Unless the Client opts out in writing, Localdomination4biz may mention the Client’s business name and logo in its portfolio, client list, website, presentations, or marketing materials.

Detailed case studies, performance breakdowns, screenshots containing confidential information, or sensitive commercial details will require the Client’s permission.

Testimonials, reviews, comments, or feedback voluntarily provided to Localdomination4biz may be used in marketing materials, website pages, social media, sales pages, presentations, and other promotional content.

Localdomination4biz may edit testimonials for grammar, clarity, length, or formatting, provided the meaning is not materially changed.

39. Warranties

Localdomination4biz will provide Services with reasonable skill and care.

However, except as expressly stated in these Terms or required by law, our Services are provided without warranties of specific outcomes, uninterrupted access, error-free operation, suitability for a particular purpose, or guaranteed commercial results.

The Client is responsible for determining whether the Services are suitable for their business, market, goals, legal obligations, and technical environment.

40. Limitation of Liability

To the maximum extent permitted by law, Localdomination4biz will not be liable for:

. Loss of profits;

. Loss of revenue;

. Loss of business;

. Loss of goodwill;

. Loss of data caused by third parties;

. Loss of opportunity;

. Missed leads;

. Missed appointments;

. Advertising account issues;

. Platform outages;

. Search engine ranking changes;

. AI errors;

. Automation errors caused by Client configuration or third-party systems;

. Indirect, incidental, special, consequential, or punitive damages.

To the maximum extent permitted by law, Localdomination4biz’s total liability for any claim will be limited to the amount paid by the Client for the specific Service giving rise to the claim during the three months immediately preceding the event giving rise to liability.

Nothing in these Terms limits liability where such limitation is not permitted by applicable law.

41. Indemnification

The Client agrees to indemnify and hold harmless Localdomination4biz from any claims, damages, fines, penalties, losses, costs, legal fees, or expenses arising from:

The Client’s breach of these Terms;

The Client’s unlawful marketing activities;

The Client’s non-compliance with GDPR, ePrivacy, anti-spam, advertising, or platform rules;

The Client’s use of purchased, scraped, or unlawful contact lists;

Inaccurate or misleading claims provided by the Client;

Client-approved content;

Client products or services;

Client misuse of AI tools;

Client misuse of automations;

Client misuse of CRM systems;

Intellectual property infringement caused by Client-provided materials;

Any third-party claim relating to the Client’s business, offers, products, services, or data.

42. Suspension and Termination

Localdomination4biz may suspend or terminate Services immediately if:

The Client fails to pay;

The Client breaches these Terms;

The Client uses Services unlawfully;

The Client violates third-party platform policies;

The Client provides unlawful or misleading information;

The Client uploads unlawful contact lists;

The Client abuses staff, contractors, systems, or platforms;

Continuing the relationship creates legal, financial, technical, reputational, or security risk.

Termination does not affect amounts already owed.

Upon termination, the Client must stop using any materials, systems, or access rights for which they no longer have an active licence or subscription.

43. Force Majeure

Localdomination4biz is not liable for delay or failure to perform caused by circumstances beyond its reasonable control, including but not limited to:

Internet outages;

Hosting failures;

Third-party platform outages;

Payment provider issues;

Cyberattacks;

Natural disasters;

Government action;

War;

Strikes;

Illness;

Power failures;

API changes;

Platform restrictions;

Legal or regulatory changes;

Other events outside our reasonable control.

44. Changes to Services

Localdomination4biz may update, modify, improve, discontinue, replace, or adjust its Services, features, packages, software access, third-party integrations, or pricing from time to time.

For existing subscriptions, material changes will be communicated where reasonably possible.

If a Third-Party Platform changes its pricing, terms, features, or access conditions, Localdomination4biz may adjust its own services, fees, or delivery accordingly.

Localdomination4biz may update these Terms from time to time.

The latest version will be published on our website.

For ongoing Subscription Services, material changes may be notified by email or through the relevant platform.

Continued use of our website, Services, software access, or subscriptions after changes take effect means you accept the updated Terms.

46. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain valid and enforceable.

The invalid provision will be replaced by a valid provision that most closely reflects the original commercial and legal intention.

47. No Waiver

If Localdomination4biz does not enforce a right under these Terms, this does not mean we waive that right.

The Client may not transfer or assign their rights or obligations under these Terms without written permission from Localdomination4biz.

Localdomination4biz may assign or transfer its rights and obligations in connection with a business transfer, restructuring, merger, acquisition, or sale of assets.

49. Governing Law and Disputes

These Terms are governed by the laws of the Netherlands.

The parties will first attempt to resolve any dispute through good-faith communication.

If the dispute cannot be resolved amicably, the dispute will be submitted to the competent courts in the Netherlands, unless mandatory consumer protection rules require another competent court.
